Matter Type: Share Purchase Transaction and Corporate Restructuring
Practice Area: Corporate and Commercial Law
Client Profile
Individual purchaser acquiring an existing Canadian business in a specialised trade sector, with the acquisition connected to a Canadian business immigration pathway.
The Challenge
The transaction required simultaneous coordination of the share purchase documentation, a vendor shareholder loan, corporate resolutions, and a put and call agreement, while also structuring the share allocation to satisfy the equity thresholds required under the applicable immigration stream. The timeline was tight and any error in the corporate structure could have jeopardised both the commercial transaction and the immigration application.
Our Approach
We prepared the full transaction package including the share purchase agreement, shareholder loan agreement, shareholder resolutions, put and call agreement, and updated corporate minute book. We coordinated closely with the client’s immigration consultant to ensure the corporate structure met the requirements of the applicable business immigration program throughout.
Result
The transaction closed on schedule. The corporate structure satisfied both the commercial and immigration requirements, and the client successfully advanced their immigration application.
